1. Definitions
“Company” means Anceps Concrete London. “Customer” means the person, firm or company purchasing the Goods. “Goods” means the volumetric concrete and related products supplied by the Company. “Contract” means any contract between the Company and the Customer for the sale and purchase of Goods.
2. Basis of Contract
These terms and conditions apply to all sales of Goods to the exclusion of any other terms. No variation to these conditions shall be binding unless agreed in writing by a director of the Company. Each order is an offer by the Customer to purchase Goods subject to these conditions.
3. Delivery
3.1 Delivery shall take place at the discharge point agreed between the parties in normal working hours.
3.2 The Customer shall provide safe and proper access from a metalled highway to the agreed discharge point and shall indemnify the Company against any damage or loss resulting from failure to do so.
3.3 Any times specified for delivery are estimates only and time shall not be of the essence. The Company shall not be liable for any delay in delivery.
3.4 The Customer shall: a) Provide an authorised representative to accept the Goods b) Ensure site readiness for delivery c) Sign the delivery docket to acknowledge receipt
3.5 Upon arrival, 30 minutes are allowed for unloading each load. Waiting time beyond this period will be charged at our current rate per minute.
4. Price and Payment
4.1 Unless otherwise agreed, prices are as per the Company’s quotation valid for 30 days or as per the Company’s current price list.
4.2 The Company reserves the right to charge additional costs for: a) Deliveries outside normal working hours b) Part-load deliveries c) Waiting time beyond the allocated period d) Quantities substantially different from those ordered
4.3 Payment is due in full upon delivery unless the Customer holds an approved credit account, in which case payment terms shall be as agreed.
4.4 Late payments will incur interest at 8% above the Bank of England base rate per annum.
5. Risk and Title
5.1 Risk in the Goods shall pass to the Customer on delivery.
5.2 Ownership of the Goods shall not pass to the Customer until the Company has received payment in full for the Goods and all other sums due to the Company.
6. Quality and Warranty
6.1 The Company warrants that the Goods will be of satisfactory quality and in accordance with the specification agreed.
6.2 The Company shall not be liable for defects in the Goods: a) Arising from fair wear and tear, wilful damage, negligence, or failure to follow instructions b) Where the total price has not been paid by the due date c) Where the Customer has modified or altered the Goods d) Where water or other materials have been added by the Customer
6.3 If the Goods are proven defective, the Company will at its option replace the Goods or issue a credit note for the purchase price.
6.4 Any claim for defective Goods must be notified to the Company in writing within 24 hours of delivery.
7. Limitation of Liability
7.1 Nothing in these conditions excludes or limits the Company’s liability for death or personal injury caused by negligence or for fraudulent misrepresentation.
7.2 The Company’s total liability arising under or in connection with the Contract shall be limited to the price of the Goods.
7.3 The Company shall not be liable for: a) Loss of profit or business opportunity b) Indirect or consequential loss c) Any costs incurred by the Customer continuing construction work with Goods known to be defective
8. Cancellation
8.1 Cancellation will only be accepted on condition that all costs and expenses incurred by the Company up to cancellation, plus loss of profit, are reimbursed by the Customer.
8.2 Orders cancelled with less than 24 hours’ notice will be subject to a cancellation charge of 50% of the order value.
9. Force Majeure
The Company shall not be liable for any failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to strikes, transport difficulties, adverse weather, or supply chain disruptions.
10. General
10.1 If any provision of these terms is held to be invalid or unenforceable, the validity of the remaining provisions shall not be affected.
10.2 These terms shall be governed by English law and the parties submit to the exclusive jurisdiction of the English courts.
10.3 Health & Safety Warning: Contact with wet concrete may cause burns. If skin contact occurs, remove affected clothing and wash thoroughly with clean water. If symptoms persist, seek medical advice.
